- 1) Are the articles of inc. (apr 3, 2000) the most current?
- 2) Do you have an electronic copy? (Word or other?)
- 3) Are the by-laws current (2/04)
- 4) Do you have an electronic copy?
- 5) Do you have a copy of the minutes of the last monthly meeting that was held?
Recommendations for Jeff
- 1) Call a special meeting of the board of directors ASAP. Current board is comprised of: Jeff, Greg, & ???. The purpose of the meeting is to review the current operational docs (Articles & By-Laws) and amend if necessary.
- 2) Compose an agenda for this meeting and publish it along with the meeting itself. (can post on website and call / email / phone each director.
- 3) If you want to and agree to it, you may invite interested guests to attend.
- 4) Get the most current copy of operational docs digitized, saved as PDF and uploaded to website. (Documents folder: https://www.olympictimbertown.us/download_documents.php )
- 5) Make sure you keep minutes of this meeting. Best to type and save.
- 6) Changes that you should make to by-laws: 1) explain what Article V a. actually means. 2) Change requirement to have monthly board meetings. Make quarterly or make only as requested by the president or majority of board members, not to exceed monthly frequency. (You may already call a special meeting...)
- 7) Decide what the annual membership should be and clarify the privileges and responsibilities of members.
- 8) Define the fiscal year for OTT. (I suggest calendar year unless there is some good reason for other). Make membership begin and end on same. (Makes easier to collect dues)
- 9) Advertise the annual meeting for this May. I suggest May 17 at the property if that will work out. (or 10th or 24th) The annual meeting is for members and they may vote on directors. Could try to do a picnic or potluck or something?
- 10) Have a directors meeting on that same day, after the annual meeting, and invite any new directors to attend.
- 11) Draft safety rules as required by the by-laws.
